  1. SOFTWARE LICENSE AGREEMENT

  3. PLEASE REVIEW THE FOLLOWING TERMS AND CONDITIONS
  4. CAREFULLY BEFORE CLICKING THE YES BUTTON BELOW. 
  5. BY CLICKING THE YES BUTTON, YOU INDICATE YOUR
  6. ACCEPTANCE OF SUCH TERMS AND CONDITIONS.  IN THE EVENT
  7. THAT YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS,
  8. YOU SHOULD PROMPTLY EXIT THE PROGRAM BY CLICKING THE
  9. NO BUTTON BELOW.

  11. Pursuant to this Agreement, you are licensed to:(a) use Internet Coach
  12. Lite (the "Software") on a single computer that is not a network server
  13. (b) make one copy of the Software for archival purposes.

  16. YOU MAY NOT USE, COPY, MODIFY, OR TRANSFER THE
  17. SOFTWARE OR ANY COPY, IN WHOLE OR IN PART, EXCEPT AS
  18. PROVIDED IN THIS AGREEMENT.  IF YOU TRANSFER POSSESSION
  19. OF ANY COPY, MODIFICATION, OR MERGED PORTION OF THE
  20. SOFTWARE TO ANOTHER PARTY, THIS LICENSE IS
  21. AUTOMATICALLY TERMINATED.

  23. TERM

  25. This Software is licensed, not sold to you.  APTE retains all ownership
  26. rights in the Software. The license is effective until terminated.  You may
  27. terminate it at any time by destroying the Software together with all
  28. copies.  It will also terminate upon conditions set forth elsewhere in this
  29. Agreement or if you fail to comply with any term or condition of this
  30. Agreement.  You agree upon such termination to destroy the Software
  31. together with any copies.

  34. DISCLAIMER OF WARRANTIES
  35.  
  36. NO  WARRANTIES, EITHER EXPRESS OR IMPLIED, ARE MADE WITH
  37. RESPECT TO THIS SOFTWARE, INCLUDING BUT NOT LIMITED TO
  38. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
  39. FOR A PARTICULAR PURPOSE, AND APTE EXPRESSLY DISCLAIMS
  40. ALL WARRANTIES NOT STATED HEREIN.  YOU ASSUME THE
  41. ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE
  42. SOFTWARE.  SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU-
  43. AND NOT APTE - ASSUME THE ENTIRE COST OF NECESSARY
  44. SERVICING, REPAIR, OR CORRECTION.  SOME STATES DO NOT
  45. ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE
  46. EXCLUSION MAY NOT APPLY TO YOU.  THIS WARRANTY GIVES
  47. YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER
  48. RIGHTS WHICH VARY FROM STATE TO STATE.

  50. APTE does not warrant that the functions contained in the Software will
  51. meet your requirements or that the operation of the Software is
  52. compatible with all hardware and software and will be uninterrupted and
  53. error-free.  You assume responsibility for the selection of the hardware
  54. and software to achieve your intended results; and for the installation, use
  55. and results obtained from this Software.

  57. IN NO EVENT WILL APTE BE LIABLE TO YOU OR ANY OTHER
  58. PERSON FOR ANY DAMAGES, INCLUDING ANY INCIDENTAL OR
  59. CONSEQUENTIAL DAMAGES, EXPENSES, LOST PROFITS, LOST
  60. SAVINGS, OR OTHER DAMAGES ARISING OUT OF USE OF OR
  61. INABILITY TO USE THIS SOFTWARE.

  63. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF
  64. INCIDENTAL OR CONSEQUENTIAL DAMAGES FOR CONSUMER
  65. PRODUCTS, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY
  66. NOT APPLY TO YOU.

  69. GENERAL

  71. You may not sublicense, assign, or transfer this license or the Software. 
  72. Any attempt to otherwise sublicense, assign, or transfer any of the rights,
  73. duties, or obligations hereunder is null and void and will automatically
  74. terminate this license..

  76. If you have any questions concerning this Agreement, including warranty
  77. service, you should contact APTE, Inc., 1840 Oak Avenue, Evanston,
  78. Illinois 60201-3686.

  80. This Agreement will be governed by the laws of the State of Illinois.

  82. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT,
  83. UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND
  84. CONDITIONS;  YOU FURTHER AGREE THAT IT IS THE COMPLETE
  85. AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US
  86. WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT,
  87. ORAL OR WRITTEN AND ANY OTHER COMMUNICATIONS BETWEEN
  88. US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
